China’s New Public Institution Registration Rules: What Foreign Founders Need to Know

China’s State Council passed the Regulations on the Registration and Administration of Public Institutions, effective December 1, 2026. For foreign founders, these rules clarify how public institutions are registered and operated—entities that often serve as partners, licensors, or service providers in education, healthcare, and culture. This article summarizes key compliance points and practical implications.

China’s New Public Institution Registration Rules: An Overview for Foreign Founders

On September 28, 2026, China’s State Council adopted the Regulations on the Registration and Administration of Public Institutions (the “Regulations”) at its 98th executive meeting. The Regulations take effect on December 1, 2026. For foreign founders registering or operating a company in China, understanding these rules is important because public institutions (事业单位, shiye danwei) are common counterparties in sectors such as education, healthcare, science and technology, and culture. They may be licensors, service providers, or joint-venture partners. The Regulations set out how these entities are registered, governed, and supervised.

What Is a Public Institution?

Under Article 3, a public institution is a non-profit organization established by state organs or other organizations using state-owned assets for public welfare purposes. It engages in activities such as publicity and culture, education, science and technology, and health. Public institutions must be approved by an approval authority before registration. Once registered, they obtain legal-person status and bear civil liability independently. Unregistered entities may not operate under the name of a public institution legal person. If registration is not legally required, legal-person status begins from the date of establishment.

Registration Requirements and Timeline

Article 9 lists the registration items: name, domicile, purpose and business scope, legal representative, funding source, initial capital, and sponsoring unit. The registration process involves the sponsoring unit reviewing application materials, the competent authority re-examining them, and the registration authority completing the registration and issuing a Public Institution Legal Person Certificate (the “Certificate”).

For entities that obtain legal-person status upon establishment, the Certificate must be applied for within 10 working days of receiving the application. For other registrations, the registration authority must review and decide within 15 working days. If approved, the Certificate is issued; if not, reasons must be given. The review covers completeness and legal form of materials, compliance of approval documents, and whether the proposed legal representative has serious dishonesty records. The authority may seek opinions and conduct on-site verification.

The Certificate has a limited validity period and automatically expires if not renewed. Renewal applications must be filed within 90 days before expiration, following the same review chain.

Changes, Deregistration, and Liquidation

If registration items change, the institution must apply for change registration within 30 days. For deregistration, a liquidation group must be formed before applying. If no liquidation group is formed within one year of the triggering event, the competent authority and sponsoring unit must form one. After liquidation, deregistration must be applied for within 15 days. The registration authority then collects the Certificate. Simplified deregistration procedures may apply in cases such as revocation or merger, as set by the national registration authority.

Governance and Compliance Obligations

The Regulations emphasize Party leadership. Public institutions must uphold the leadership of the Communist Party of China, implement Party lines and policies, and establish Party organizations in accordance with the Party Constitution and relevant intra-Party regulations. They must improve decision-making mechanisms and strengthen Party building.

Public institutions must abide by the Constitution, laws, regulations, and national policies, practice core socialist values, uphold national security, protect state secrets, and accept social supervision. They must not harm national interests, public interests, or the lawful rights of other organizations and citizens.

They must adhere to serving the public interest, prioritize social benefits, and continuously improve the quality and efficiency of public services.

Supervision and Negative List

Article 21 establishes a negative list for public institution activities. Public institutions must not deviate from their main public-service responsibilities, exceed their prescribed scope of duties, improperly establish enterprises, violate non-profit legal-person rules, or engage in false advertising. Credit management applies to public institutions and their legal representatives, including an abnormal list and focused supervision.

Registration authorities must strengthen policy guidance and supervision over the performance of public-service duties, urge competent authorities and sponsoring units to fulfill direct supervision responsibilities, and industry management departments to fulfill industry guidance responsibilities. For prominent problems or missing responsibilities, they may conduct interviews, urge rectification, and handle matters according to regulations. Problems in Party building must be reported.

Competent authorities and sponsoring units must strengthen supervision over public-service performance, conduct service-effect evaluations, require public-facing institutions to clarify service guides and workflows and make them public, regulate institution-run enterprises, and urge institutions that deviate from public-interest goals to rectify. They must also formulate government-institution authority lists, guide institutions to establish internal management systems, standardize operations, and strengthen state-owned asset management and financial accounting supervision.

Industry management departments must set industry standards and service norms for public-facing institutions, strengthen supervision over professional ethics (such as teacher ethics, medical ethics, and research integrity), and guide behavior.

Registration authorities must coordinate with departments of social work, cyberspace, public security, civil affairs, and market regulation on supervision, including problem discovery,线索 transfer, and result feedback.

Any organization or individual may report violations to the sponsoring unit, competent authority, or registration authority, which must handle them according to law.

Practical Implications for Foreign Founders

Foreign founders may encounter public institutions as partners in education, healthcare, culture, or technology projects. When contracting with a public institution, verify its legal-person status and the validity of its Certificate. Ensure that the institution’s business scope covers the planned activities and that any change in registration items has been properly filed. Because public institutions are subject to a negative list, they cannot engage in profit-oriented activities beyond their public-service role, which may affect joint ventures or commercial arrangements. The emphasis on Party leadership and supervision means that public institutions may have additional internal approval processes. When forming partnerships, clarify governance and decision-making structures. Also note the credit management regime: institutions with abnormal records may face focused supervision, which could affect their ability to perform contracts.
